Terms & Conditions
Last updated: 1 January 2026
1. These terms
These terms govern all services supplied by Sublime & Trendy Unipessoal LDA., a company registered in Portugal, to its clients. They apply alongside the signed proposal, quotation, or statement of work for a project. Where a signed agreement says something different, that agreement takes precedence.
2. Quotes and proposals
Quotations are valid for 30 days from the date of issue and cover only the scope, quantities, and dates stated in them. A project is confirmed when you accept the proposal in writing and, where applicable, the deposit is received. Estimates based on third-party costs — venues, print runs, travel, talent — may be revised if the supplier's price changes before booking.
3. Payment
Unless the proposal states otherwise, 50% of the fee is payable on confirmation and the balance within 30 days of the final deliverable or the last day of the event. Print and merchandise orders are payable in full before production begins.
All prices are exclusive of VAT, which is added at the rate in force. Late payments may attract statutory interest, and we may pause work on overdue accounts after written notice.
4. Your responsibilities
You agree to provide the brief, brand assets, approvals, and factual content we need, on the dates agreed. Delays in supplying materials or approvals may move delivery dates and, where they cause additional cost, that cost is passed on.
You confirm that any logos, text, images, or other material you supply are yours to use and do not infringe third-party rights.
5. Changes to scope
Design work includes the number of revision rounds stated in the proposal. Additional rounds, new deliverables, or changes to an agreed direction are quoted separately and confirmed in writing before we proceed.
6. Cancellation & postponement
Cancellations must be made in writing. For event and production work, the deposit is non-refundable once suppliers have been booked, and the following applies to the total fee: cancellation more than 60 days before the event, 25% payable; 30–60 days, 50% payable; fewer than 30 days, 100% payable. Third-party costs already committed — venue, print, travel, talent — are payable in full in every case.
A postponement notified more than 30 days in advance can be moved once to a new date within 12 months at no additional fee, subject to supplier availability. Where an event cannot proceed because of circumstances beyond either party's reasonable control, we will work with you to reschedule and recover what we can from suppliers.
Fees for work already performed at the point of cancellation, and for any bespoke items already in production, remain payable.
7. Print & merchandise
Production begins only after you approve the final artwork or proof. Once approved, you are responsible for the content of that artwork, including spelling and colour choices. Printed colour may vary slightly from screen and between production runs; commercially reasonable variation is not a defect.
Quantities may vary by up to 5% on large print runs, which is standard industry practice, and are invoiced as delivered. Claims for damaged or short deliveries must be reported within 5 working days of receipt.
8. Intellectual property
On full payment, ownership of the final approved deliverables created for you transfers to you. Working files, source designs, unused concepts, and our own tools, templates, and methods remain ours. Third-party assets such as fonts, stock imagery, and music are licensed to you on the terms of the original licence, and any extension of use is your responsibility.
Unless you tell us otherwise in writing, we may show the work — including photographs and video of events we produced — in our portfolio, website, and social channels.
9. Liability
We deliver our services with reasonable care and skill. Our total liability in connection with a project is limited to the fees paid by you for that project. We are not liable for indirect or consequential loss, including loss of profit, revenue, or anticipated savings.
Nothing in these terms excludes liability that cannot be excluded under Portuguese law, including liability for death or personal injury caused by negligence, or for fraud.
10. Confidentiality
Each party keeps the other's confidential information — commercial terms, unreleased plans, attendee data, and anything marked confidential — private, and uses it only to deliver the project. This obligation continues after the project ends. Personal data is handled as set out in our Privacy Policy.
11. Law & jurisdiction
These terms are governed by Portuguese law. Any dispute that cannot be resolved between us will be submitted to the courts of Portugal.
